How to Incorporate in Saskatchewan: Costs, Steps & Annual Return

A Saskatchewan corporation costs $255 numbered or $305 named after the $50 name reservation. The current annual return is $60 on time or $110 late.

Saskatchewan has no general resident-Canadian-director minimum. The corporation still needs a physical Saskatchewan registered office and, if no director or officer has a Saskatchewan physical address, a local power of attorney.

Federal's $200 headline can become more expensive after Saskatchewan registration. Federal name review and ability to move the registered-office province may still justify it. Compare the total, not one fee.

Professional accounting and records cost much more than the registry. A basic T2 often costs around $1,500 with clean books; total outsourced administration can reach $2,000–$3,000 annually.

What you need

  1. A numbered choice or approved 90-day name reservation.
  2. A physical Saskatchewan registered office—not only a P.O. box.
  3. At least one qualified individual director and the director/officer details.
  4. Authorized share classes, rights, restrictions and conditions.
  5. Share-transfer/business restrictions and other article provisions.
  6. Shareholder and incorporator information required by the registry.
  7. A Saskatchewan power of attorney if no director or officer has a physical address in the province.

Articles authorize shares. They do not issue them to founders; that happens through post-incorporation resolutions, subscriptions, payment and the securities register.

Registry steps

  1. Search and reserve a name for $50, or choose a numbered corporation.
  2. Sign in to the Saskatchewan Corporate Registry.
  3. Select file, reserve a name or create a company, business corporations, then incorporate.
  4. Enter the name, registered office, directors/officers and power-of-attorney details.
  5. Complete the share structure and other articles provisions.
  6. Review public information, pay $255 and submit.
  7. Save the digital Certificate of Incorporation, Articles and registry confirmations.

The registry automatically registers the corporation for a CRA BN. It can also connect Saskatchewan Finance registration and request WCB contact. Confirm that the specific tax and employer accounts you need were actually opened.

Organize after filing

  • adopt bylaws and initial director/shareholder resolutions;
  • appoint officers and approve banking authority;
  • subscribe for, pay for and issue founder shares;
  • create securities, shareholder, director and officer registers;
  • create the register of individuals with significant control;
  • establish the minute book and accounting system; and
  • open a corporate bank account separate from personal funds.

For co-founders, investors, custom share classes, non-residents or a business transferring assets into the company, obtain Saskatchewan legal and tax advice.

Registered office and non-residents

The corporation must maintain a physical Saskatchewan registered office. Director nationality does not change that local requirement. When no director or officer has a Saskatchewan physical address, appoint a power of attorney who can accept service in the province.

Ribbon Business does not currently offer Saskatchewan provincial incorporation or a Saskatchewan registered-office address. Use a valid local arrangement and keep the registry updated within 15 days after relevant changes.

Annual obligations

  • File the $60 annual return one month after the incorporation anniversary; late fee is $110.
  • File the T2 within six months after tax year-end and pay tax by the applicable deadline.
  • File GST, payroll, Saskatchewan PST and WCB returns when active.
  • Update directors, office, shareholders and power of attorney within 15 days.
  • Review the ISC register and document annual director/shareholder decisions.
  • Preserve articles, resolutions, registers, financial records and contracts.

The registry annual return and the T2 tax return are separate. Late or missing registry returns can lead to strike-off.

Frequently asked questions

Can I incorporate without reserving a name?

Yes. Choose a numbered Saskatchewan corporation and the registry assigns its legal name.

Can all directors live outside Canada?

Ordinary Saskatchewan corporate law no longer has a resident-Canadian minimum. A local power of attorney is still required if no director or officer has a Saskatchewan physical address.

Is a federal corporation cheaper?

Not necessarily. The $200 federal filing normally must be followed by Saskatchewan extra-provincial registration, currently $255, plus maintenance in both registries.

Before the first invoice, make sure founder shares were actually issued, banking authority is signed, CRA and Saskatchewan Finance accounts are correct, and the $60 annual-return date is recorded.
