How to Incorporate in Yukon: Costs, Forms & Annual Return

A numbered Yukon corporation costs $300. A named corporation adds a $40 online YCOR name reservation, for a normal $340 total; the office-filed reservation costs $60 instead. The reservation lasts 90 days. Confirm the filing package on the official Yukon incorporation page.
The corporation needs a physical Yukon registered office and original signatures on the formation documents. Yukon does not automatically issue the CRA BN/RC account after incorporation.

Federal incorporation can provide broader name review and mobility, but it does not eliminate Yukon registration. Compare the combined cost and director rules.
What to prepare
- Form 1 Articles of Incorporation: share classes, transfer restrictions, director number/range and other provisions.
- Form 2 Notice of Address: physical Yukon registered office and Yukon mail-service address.
- Form 8 Notice of Directors: first directors matching the Articles.
- Approved name certificate or numbered choice.
- Original incorporator signatures and $300 fee.
Articles authorize shares; post-certificate resolutions and subscriptions issue them.
Filing steps
- Reserve the word name through YCOR for $40, or choose numbered.
- Complete Forms 1, 2 and 8 with consistent names, director numbers and addresses.
- Print and sign originals; copies and electronic signatures are not accepted for new incorporations.
- Deliver or mail the package and payment to Yukon Professional and Corporate Affairs.
- Save the Certificate and filed forms. Yukon says processing can take up to 10 business days.
- Separately register the corporation's CRA BN and
RCaccount, then add GST/payroll accounts as needed.
Organize and maintain records
Adopt bylaws, approve initial resolutions, appoint officers, issue and record shares, authorize banking, create corporate registers and establish the minute book/accounting system.
Since June 1, 2025, Yukon corporations must maintain a register of individuals with significant control; the transition deadline to create the register was June 1, 2026. Keep it current with the other corporate records.

Office and non-residents
The registered office delivery address must be a physical Yukon location, not only a P.O. box. Yukon has no general resident-Canadian-director minimum, but tax, banking, immigration and regulated-sector rules can still affect non-residents.

Annual obligations
File the $100 annual return by the last day of the month after the anniversary month. YCOR online filing completes immediately after submission/payment; office processing can take up to 10 business days. Check the current amount on Yukon's business-corporation fee schedule.
Also file the T2, active GST/payroll accounts, keep director/address information current within the applicable time and review the ISC/corporate records. The annual return is not the tax return.
Frequently asked questions
Can I incorporate fully online?
YCOR handles name reservation and some later filings, but Yukon's current new-incorporation instructions require original signed formation documents.
Can all directors live outside Canada?
Yukon corporate law has no general resident-Canadian minimum. The corporation still needs its physical Yukon registered office.
When is the first annual return due?
By the last day of the month following the anniversary month, unless a specific first-year statutory exception applies to the corporation's dates.
